Terms and Conditions

These Terms and Conditions ("Terms") are a legal agreement between you ("Customer", "you") and Lodestellar OÜ ("Lodestellar", "we", "us"), an Estonian company (registry code 17374696, VAT EE102925300), with its registered address at Telliskivi tn 60a/5, Põhja-Tallinna linnaosa, Tallinn, 10412, Harju maakond, Estonia.

These Terms govern your access to and use of the Lodestellar EPD quality review service available at lodestellar.com ("the Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Business Use Only

The Service is intended for business and professional use in connection with Environmental Product Declaration (EPD) and Life Cycle Assessment (LCA) compliance review. By using the Service, you represent that you are acting on behalf of a business or organization and not as an individual consumer.

2. Definitions

  • Service - the AI-powered EPD quality review platform operated by Lodestellar at lodestellar.com, including all related features and functionality.
  • Quality Review - an automated analysis of uploaded documents against compliance requirements, producing a quality report with findings.
  • Account - a registered user profile that provides access to the Service.
  • Organization - a business entity under which one or more Accounts are grouped.

3. Account Registration and Security

3.1. To use the Service, you must create an Account by providing accurate and complete information. You are responsible for keeping your login credentials secure.

3.2. You are responsible for all activity that occurs under your Account. Notify us immediately at info@lodestellar.com if you suspect unauthorized access.

3.3. Lodestellar reserves the right to suspend or terminate Accounts that are inactive, contain false information, or are used outside the scope described in Section 1.

4. The Service

4.1. Lodestellar provides AI-powered quality reviews of EPDs and related documents against compliance standards and programme operator rules.

4.2. Quality reviews are informational guidance only. The Service does not constitute professional verification, certification, legal advice, or regulatory compliance confirmation. Quality reviews do not replace independent third-party verification required for EPD publication.

4.3. AI-generated results may contain errors, omissions, or inaccuracies. Lodestellar does not guarantee the completeness, correctness, or fitness for purpose of any quality review output. You are solely responsible for evaluating and acting on the results.

4.4. You remain fully responsible for the compliance of your EPDs and supporting documentation, regardless of any findings or outcomes produced by the Service.

5. Free Trial

5.1. Lodestellar may, at its sole discretion, offer complimentary quality reviews to eligible Customers for evaluation purposes.

5.2. Free trial reviews are provided "as is" without any warranty, support obligation, or liability on Lodestellar's part.

5.3. Lodestellar may modify, limit, or discontinue free trial offers at any time without notice.

5.4. These Terms apply to free trial usage in full, except that Sections 6 and 7 (Pricing and Refunds) do not apply to complimentary reviews.

6. Pricing and Payment

6.1. Prices for the Service are as displayed at the time of purchase and are exclusive of applicable taxes.

6.2. Lodestellar reserves the right to change pricing at any time. Price changes do not affect purchases already completed.

7. Refund Policy

7.1. All purchases are final.

7.2. Lodestellar may, at its sole discretion, consider refund requests on a case-by-case basis. To request a refund, contact info@lodestellar.com.

8. Intellectual Property

8.1. Your content. You retain all rights to the documents you upload to the Service. By uploading, you grant Lodestellar a limited, temporary license to process your documents solely for the purpose of providing the Service.

8.2. Quality review output. You own the quality review results generated for your documents.

8.3. The Service. Lodestellar retains all intellectual property rights in the Service, including its platform, methodology, algorithms, report structure, and user interface. Nothing in these Terms transfers any Lodestellar IP to you.

8.4. Lodestellar may use anonymized, aggregated data derived from Service usage to improve the Service. This data will not identify you, your Organization, or your documents.

9. Data and Privacy

9.1. Your use of the Service is also governed by our Privacy Policy, available at lodestellar.com/privacy-policy.

9.2. Third-party processing. To provide the Service, your uploaded documents are processed by third-party AI service providers. These providers are contractually bound not to use your data for model training or any purpose other than providing their services to Lodestellar. A list of current sub-processors is available on request.

9.3. Data retention. Uploaded documents and quality review results are retained for up to one year and are deleted upon Account closure. You may delete your data at any time through the Service. Detailed retention information is provided in our Privacy Policy.

9.4. Your data is used solely to provide the Service and is not sold or shared for marketing purposes.

10. Acceptable Use

You agree not to:

  • use the Service for any purpose other than professional EPD and LCA compliance review;
  • upload documents that contain malware or are designed to disrupt the Service;
  • attempt to reverse engineer, decompile, or extract the source code or algorithms of the Service;
  • resell, sublicense, or provide access to the Service to third parties without Lodestellar's written consent;
  • use automated tools to access the Service in a way that exceeds reasonable use or burdens the infrastructure;
  • use the Service in any way that violates applicable laws or regulations.

Lodestellar reserves the right to suspend or terminate your Account for violations of this section.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. Lodestellar does not warrant that:

  • the Service will be uninterrupted, error-free, or available at all times;
  • quality review results will be accurate, complete, or suitable for any particular purpose;
  • the Service will meet your specific requirements.

To the maximum extent permitted by law, Lodestellar disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

12.1. To the maximum extent permitted by law, Lodestellar's total liability to you for any claims arising from or related to these Terms or the Service is limited to the total fees you paid to Lodestellar in the 12 months preceding the claim.

12.2. Lodestellar is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or regulatory penalties, even if Lodestellar has been advised of the possibility of such damages.

12.3. These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

12.4. The limitations in this section do not apply to liability that cannot be excluded or limited under applicable law.

13. Termination

13.1. You may close your Account at any time by contacting info@lodestellar.com.

13.2. Lodestellar may suspend or terminate your Account at any time, for any reason, including but not limited to breach of these Terms, suspected misuse, or non-payment.

13.3. Upon termination, your right to access the Service ends immediately. Data associated with your Account will be deleted in accordance with our Privacy Policy.

13.4. Sections 4.2, 4.3, 4.4, 8, 11, 12, and 15 survive termination.

14. Changes to These Terms

14.1. Lodestellar may update these Terms at any time. The updated version will be posted at lodestellar.com/terms-and-conditions with a revised effective date.

14.2. For material changes, we will provide reasonable advance notice by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14.3. If you do not agree with the updated Terms, you may close your Account before the changes take effect.

15. Governing Law and Disputes

15.1. These Terms are governed by the laws of the Republic of Estonia.

15.2. In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of written notice of the dispute.

15.3. If the dispute is not resolved through negotiation, it shall be submitted to the courts of Harju County, Tallinn, Estonia.

16. General Provisions

16.1. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

16.2. Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lodestellar regarding the Service.

16.3. Assignment. You may not assign your rights or obligations under these Terms without Lodestellar's written consent. Lodestellar may assign its rights and obligations without restriction.

16.4. Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.5. Force majeure. Lodestellar is not liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to natural disasters, power outages, internet disruptions, or third-party service failures.
